A Delaware C-corporation has compliance obligations beginning immediately after formation. This guide covers every recurring obligation in chronological order, with deadlines, fees, and consequences clearly specified.

Immediately After Formation

BOI Initial Report: For entities formed in 2025 or later, the BOI initial report to FinCEN is due within 30 days of formation. For entities formed in 2024, the deadline was 90 days. Report all beneficial owners (individuals exercising substantial control or owning 25%+ of the entity) with full name, date of birth, residential address, and government ID number. Civil penalty for non-compliance: $591/day.

Registered Agent: Delaware requires a registered agent with a Delaware street address from the moment of formation. Maintain this continuously — the Division of Corporations can void your charter if the registered agent resigns and you don't replace them within 30 days.

First Year Franchise Tax (Prorated)

Delaware does not prorate franchise tax for the year of formation — the full minimum franchise tax ($400+ depending on shares) is due March 1 of the year following formation. A corporation formed on December 1, 2025 owes its first franchise tax payment on March 1, 2026.

March 1 Annual: Annual Report + Franchise Tax

Every year, by March 1, file the Annual Report and pay the franchise tax via the Delaware Division of Corporations online portal. Use the Assumed Par Value Capital Method to minimize tax (requires total gross assets and total issued shares). The $200 late penalty attaches on March 2, with 1.5%/month interest on unpaid tax.

The Annual Report requires: registered agent name and address, principal office address, names and addresses of all officers and directors. No financial information is required in the annual report itself (that's on the franchise tax computation).

BOI Updates: Within 30 Days of Changes

Any change to beneficial ownership information must be reported to FinCEN within 30 days: new investor receiving 25%+ ownership, founder departing, officer changing title, change of residential address for any beneficial owner. Updates are filed through FinCEN's BOIR system (fincen.gov/boi). Set up calendar reminders for equity transactions and officer changes — BOI update obligations are commonly missed because they are event-driven rather than calendar-driven.

Federal Tax Returns

Delaware C-corporations file federal Form 1120 (corporate income tax return) with the IRS. The return is due by the 15th day of the 4th month after the close of the fiscal year — April 15 for calendar-year corporations. An automatic 6-month extension is available by filing Form 7004 by April 15. Extension does not extend the time to pay estimated tax.

California Compliance (If Operating in California)

Most Delaware C-corps do business in California and must: (1) maintain California foreign qualification, (2) file a California Statement of Information annually in the anniversary quarter, (3) pay the California Franchise Tax Board minimum $800 franchise tax by April 15, and (4) file California Form 100 (corporate tax return) if California-source income exists.
